CodeJinn AI — End User License Agreement (EULA)

Copyright (c) 2025-2026 Alex Mathieu. All rights reserved.

IMPORTANT — READ CAREFULLY. This End User License Agreement (the "Agreement")
is a legal agreement between you (either an individual or a single legal
entity, "You") and Alex Mathieu (the "Publisher") for the CodeJinn AI software,
including its Visual Studio Code extension, its embedded web interface, its
documentation and any update or supplement thereto (collectively, the
"Software").

BY INSTALLING, COPYING OR OTHERWISE USING THE SOFTWARE, YOU AGREE TO BE BOUND
BY THIS AGREEMENT. IF YOU DO NOT AGREE, DO NOT INSTALL OR USE THE SOFTWARE.

THE SOFTWARE IS PROPRIETARY. IT IS LICENSED, NOT SOLD.

1. GRANT OF LICENCE

Subject to Your continued compliance with this Agreement, the Publisher grants
You a personal, limited, non-exclusive, non-transferable, non-sublicensable and
REVOCABLE licence to install and use the Software on the workstations You own
or control, for Your own internal purposes, whether personal or professional.

This licence is NOT perpetual and NOT irrevocable. It is granted for the term
set out in Article 9 and may be terminated in accordance with that Article.

2. NO CHARGE FOR THIS VERSION — FUTURE VERSIONS

The version of the Software covered by this Agreement is made available free of
charge, on a discretionary and revocable basis. No free-of-charge distribution
of any version of the Software creates any right, acquired or implied, to
obtain any subsequent version free of charge.

The Publisher expressly reserves the right, at any time and without notice, to
amend the terms of this Agreement, to make future versions of the Software
subject to the payment of a fee or a subscription, and to reserve some or all
functionality to paid plans. Future versions may be governed by different
terms, presented for acceptance at the time they are installed. Should You
decline those terms, Your sole remedy is not to install the version concerned;
the version already installed by You remains governed by the terms under which
it was obtained.

3. RESTRICTIONS

Except to the extent expressly authorised by this Agreement or by mandatory
provisions of applicable law, You shall not:

 (a) distribute, publish, transfer, lend, rent, lease, sell, sublicense or
otherwise make the Software available to any third party, whether or not
     for a fee;
 (b) reproduce the Software other than for the purpose of its installation and
     normal use, or make a back-up copy beyond what is strictly necessary;
 (c) modify, adapt, translate, or create derivative works of the Software;
 (d) decompile, disassemble or otherwise reverse engineer the Software, or
attempt to derive its source code, save within the strict limits of
Article L.122-6-1 of the French Intellectual Property Code and of
     Directive 2009/24/EC on the legal protection of computer programs;
 (e) circumvent, disable or interfere with any licensing, activation or
     technical protection mechanism of the Software;
 (f) remove, alter or obscure any proprietary notice, copyright notice or
     attribution contained in or displayed by the Software;
 (g) use the Software to design, develop or distribute a product or service
     that competes with the Software.

4. OWNERSHIP AND RESERVATION OF RIGHTS

The Software is protected by copyright and by international treaties. The
Publisher and its licensors retain all right, title and interest in and to the
Software, including all intellectual property rights therein. No title to, or
ownership of, the Software is transferred to You.

ALL RIGHTS NOT EXPRESSLY GRANTED IN THIS AGREEMENT ARE RESERVED BY THE
PUBLISHER.

Code, tests, documentation and other output generated by the Software from Your
own inputs are Yours. The Publisher claims no ownership of, and asserts no
rights over, such output.

5. THIRD-PARTY COMPONENTS

The Software incorporates third-party open source components, each governed by
its own licence. Those components are listed, together with the notices
required by their respective licences, in the THIRD-PARTY-NOTICES.txt file
distributed with the Software.

Nothing in this Agreement limits, restricts or supersedes the rights granted to
You under the licence of any such third-party component with respect to that
component. In the event of a conflict, the licence of the third-party component
prevails as regards that component alone.

6. THIRD-PARTY AI SERVICES

The Software can send source code and other content from Your workspace to a
third-party artificial intelligence provider that You configure, using
credentials that You supply. That provider is not operated by the Publisher.

You are solely responsible for: selecting that provider and accepting its own
terms; the content You cause the Software to transmit to it, including with
respect to confidentiality, personal data and any third-party rights; and all
fees charged by that provider. The Publisher makes no representation as to the
availability, accuracy, quality or lawfulness of the responses returned by such
a provider.

Except for the calls made to the provider You configure and to servers on Your
own machine or network that You designate, the Software transmits no data to
the Publisher or to any third party. The Publisher operates no telemetry.

7. AI-GENERATED OUTPUT

Output produced with the assistance of an artificial intelligence model may be
inaccurate, incomplete, insecure or unsuitable for Your purposes, and may
resemble pre-existing works. You remain solely responsible for reviewing,
testing and validating any output before using it, and in particular before
introducing it into any production system.

8. NO WARRANTY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SOFTWARE IS PROVIDED
"AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS,
IMPLIED OR STATUTORY, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTY OF
MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY OR NON-
INFRINGEMENT.

THE PUBLISHER DOES NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED OR
ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT IT WILL BE COMPATIBLE WITH
ANY GIVEN VERSION OF VISUAL STUDIO CODE OR OF ANY THIRD-PARTY TOOL.

This Article applies without prejudice to the mandatory statutory guarantees
owed to consumers, which remain unaffected.

9. TERM AND TERMINATION

This Agreement takes effect upon Your first installation or use of the Software
and remains in force until terminated.

You may terminate it at any time by uninstalling the Software and destroying
all copies thereof.

This Agreement terminates automatically, without notice and without any
formality, upon any breach by You of Articles 1 or 3. The Publisher may
additionally terminate it upon thirty (30) days' notice.

Upon termination, You shall cease all use of the Software and destroy all
copies in Your possession. Articles 3, 4, 8, 10 and 11 survive termination.

10. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE PUBLISHER SHALL NOT BE
LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE OR CONSEQUENTIAL DAMAGE
WHATSOEVER, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, LOSS OF BUSINESS,
LOSS OR CORRUPTION OF DATA OR OF SOURCE CODE, BUSINESS INTERRUPTION, OR THE
COST OF PROCURING SUBSTITUTE GOODS OR SERVICES, ARISING OUT OF OR IN CONNECTION
WITH THE SOFTWARE OR THIS AGREEMENT, EVEN IF THE PUBLISHER HAS BEEN ADVISED OF
THE POSSIBILITY OF SUCH DAMAGE.

THE PUBLISHER'S AGGREGATE LIABILITY UNDER THIS AGREEMENT SHALL NOT EXCEED THE
GREATER OF (I) THE AMOUNTS ACTUALLY PAID BY YOU TO THE PUBLISHER FOR THE
SOFTWARE DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO
LIABILITY, AND (II) FIFTY EUROS (EUR 50).

Nothing in this Agreement excludes or limits the Publisher's liability for
death or personal injury caused by its negligence, for fraud, for wilful
misconduct or gross negligence, or for any other liability that cannot lawfully
be excluded or limited.

11. GOVERNING LAW AND JURISDICTION

This Agreement is governed by French law, without regard to its conflict-of-law
rules. The United Nations Convention on Contracts for the International Sale of
Goods does not apply.

Any dispute arising out of or in connection with this Agreement shall be
submitted to the exclusive jurisdiction of the competent courts of France. This
clause applies without prejudice to the mandatory rules of jurisdiction
protecting consumers, who retain the right to bring proceedings before the
courts of their place of residence.

12. GENERAL

This Agreement constitutes the entire agreement between the parties as regards
the Software and supersedes any prior communication or representation. Should
any provision be held invalid or unenforceable, the remaining provisions remain
in full force and effect and the provision concerned shall be construed so as
to give effect, as far as possible, to the parties' original intent. The
Publisher's failure to enforce any provision shall not be construed as a waiver
thereof.

You may not assign this Agreement without the Publisher's prior written
consent. The Publisher may assign it in connection with a merger, acquisition
or transfer of all or substantially all of its assets.

13. PRIOR VERSIONS

Versions of the Software distributed up to and including version 0.0.62 were
released under the GNU General Public License version 3.0. Those versions
remain governed by that licence for anyone who obtained them. This Agreement
governs all versions distributed from version 0.0.63 onwards.

14. CONTACT

Questions concerning this Agreement may be addressed to the Publisher through
the Q&A section of the Software's Visual Studio Marketplace page.
